Terms of Use for the Digital Goods Marketplace
Effective Date: October 13, 2025
1. Introduction
Welcome to IQBID.MARKET (the "Platform"), an online marketplace operated by IQBID. The Platform facilitates the listing, sale, and purchase of digital goods worldwide. By accessing or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not use the Platform.
These Terms constitute a legally binding agreement between you and the Company. We reserve the right to modify these Terms at any time, with changes effective upon posting. Your continued use of the Platform after changes constitutes acceptance.
2. Definitions
- "Digital Goods": Intangible products such as software, e-books, graphics, music, templates, or other downloadable content.
- "Seller": A User who lists Digital Goods for sale on the Platform.
- "Buyer": A User who purchases Digital Goods on the Platform.
- "Internal Token": The Platform's proprietary cryptocurrency or token used for transactions.
- "Cryptocurrency": Accepted digital currencies such as Bitcoin (BTC), Ethereum (ETH), or others as specified on the Platform.
- "Paid Services for Sellers": Optional fee-based features including:
- Highlighting listings (e.g., featured placements).
- Promotion of listings (e.g., targeted advertising).
- Secure transactions (e.g., escrow services to ensure delivery).
- Analytics tools (e.g., sales performance reports).
- Customization options (e.g., personalized listing designs).
- Priority customer support.
- Account verification badges.
- Bundled offerings: Sellers may package Digital Goods with additional services such as implementation assistance or technical support.
- "Free Services for Sellers": Listing Digital Goods without charge.
3. User Eligibility and Accounts
You must be at least 18 years old or the age of majority in your jurisdiction to use the Platform. By registering, you represent that you meet this requirement.
To use the Platform, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.
We may suspend or terminate accounts for violations of these Terms, at our sole discretion, without liability.
4. Seller Responsibilities
- Listing Digital Goods is free. Sellers may upload, describe, and price their Digital Goods, ensuring all listings comply with applicable laws, including intellectual property rights.
- Sellers may offer bundled packages, such as Digital Goods combined with implementation services or technical support, clearly disclosing terms.
- Paid Services must be purchased using Cryptocurrency or Internal Token. Fees are non-refundable unless otherwise stated.
- Sellers warrant that their Digital Goods are original, non-infringing, and free from malware or defects. Sellers must deliver goods promptly upon purchase.
- Sellers handle disputes directly with Buyers, but the Platform may facilitate resolution via secure transaction services.
5. Buyer Responsibilities
- Purchases are made using Cryptocurrency or Internal Token. All transactions are final and non-refundable, except in cases of non-delivery or as per dispute resolution.
- Buyers must review listings carefully. The Platform does not guarantee the quality, legality, or suitability of Digital Goods.
- By purchasing, Buyers receive a non-exclusive, non-transferable license to use the Digital Goods for personal or specified purposes, subject to the Seller's terms.
6. Payments and Transactions
- All payments for purchases and Paid Services are processed via Cryptocurrency or Internal Token. Users are responsible for any transaction fees, taxes, or volatility risks associated with cryptocurrencies.
- The Platform acts as a facilitator and does not hold funds except in escrow for secure transactions. We are not liable for cryptocurrency fluctuations or wallet issues.
- Users must comply with anti-money laundering (AML) and know-your-customer (KYC) requirements as applicable in their jurisdiction.
- Refunds are at the Seller's discretion or as required by law. The Platform may withhold commissions or fees from Seller payouts.
7. Intellectual Property
Users retain ownership of their content but grant the Company a worldwide, royalty-free, non-exclusive license to display, promote, and distribute listings on the Platform.
Do not upload infringing content. We may remove listings suspected of infringement without notice. Users indemnify the Company against claims arising from their content.
The Platform's trademarks, logos, and software are owned by the Company. Unauthorized use is prohibited.
8. Prohibited Activities
You agree not to:
- Upload illegal, harmful, or infringing content.
- Engage in fraud, spam, or unauthorized advertising.
- Use bots, scrapers, or automated tools without permission.
- Violate export controls, sanctions, or cryptocurrency regulations.
- Harass other Users or interfere with the Platform.
We monitor activity and may report violations to authorities.
9. Dispute Resolution
Disputes between Users should be resolved amicably. If unresolved, Users may use the Platform's mediation service (if available).
10. Limitation of Liability
The Platform is provided "as is" without warranties. We are not liable for indirect, consequential, or punitive damages, including lost profits or data.
Our total liability shall not exceed the fees paid by you in the preceding 12 months.
We are not responsible for User content, transactions, or cryptocurrency risks.
11. Indemnification
You agree to indemnify and hold harmless the Company, its affiliates, and employees from claims arising from your use of the Platform, violations of these Terms, or infringement.
12. Miscellaneous
If any provision is invalid, the remainder remains enforceable. No waiver implies future waivers. These Terms supersede prior agreements.
